Invitorio Partner Program Terms and Conditions

A.Introduction and Acceptance
- Participation in the Invitorio Partner Program (the "Program") is subject to these Terms and Conditions. The Program is operated by E.G.M. Inter-Quantum Investments Ltd (the "Company").
- By submitting an application, you confirm that the information you provided is true and accurate.
- You confirm that you have the legal capacity to enter into this agreement.
- Acceptance of an application is at the sole discretion of Invitorio.
- Submission of an application does not guarantee approval.
- If approved, you must continue to comply with these Terms while participating in the Program.
B.Independent Partner Status
- You participate as an independent business partner or independent contractor.
- You are not an employee, worker, legal representative, agent, franchisee, joint-venture partner, or authorised signatory of Invitorio or E.G.M. Inter-Quantum Investments Ltd.
- Nothing in the Partner Program creates an employment relationship.
- You have no authority to make commitments, promises, warranties, contracts, or representations on behalf of Invitorio.
- You control how and when you promote Invitorio, subject to these Terms.
- You are not guaranteed any minimum income, minimum number of customers, or minimum commission.
- Commission payments are partner commission / referral commission / partner earnings — not salary or wages.
C.Tax, Social Insurance and Legal Responsibility
- You are independently responsible for declaring all commission income received from Invitorio.
- You are independently responsible for any income tax, VAT, social insurance, health contributions, licence, registration, accounting, reporting, or other statutory obligations applicable in your country.
- Invitorio does not provide personal tax, accounting, social-insurance, or legal advice to partners.
- You are responsible for determining whether you must register as self-employed, establish a business, register for VAT, or issue invoices or receipts.
- You must provide any legally required invoice, receipt, tax identification number, or supporting document if requested before a payout.
- Invitorio may withhold or delay a payout where legally required information or documentation has not been provided.
- The Company may make deductions or withhold amounts where required by applicable law.
- You should seek independent advice from a qualified accountant, tax adviser, or lawyer where necessary.
- Each party remains responsible for obligations imposed on it by applicable law.
D.Application and Approval
- Applications may be approved, rejected, suspended, or terminated.
- Invitorio may request additional information or identity verification.
- Approval is personal to the approved account.
- The approved status cannot be transferred or sold.
- You must keep your account details accurate.
- Invitorio may revoke approval if information provided is false or misleading.
E.Promo Code and Customer Discount
- Every approved partner receives a unique promo code.
- The default customer discount is 20%, unless another percentage is displayed in the Partner Office.
- Discount percentages may be changed prospectively by Invitorio.
- Promo codes work only while the partner account is active.
- Promo codes cannot be exchanged for cash.
- Promo codes cannot normally be combined with other offers unless expressly permitted.
- Invitorio may reject invalid, expired, suspended, fraudulent, or improperly used promo codes.
- The final valid discount is the amount calculated and confirmed by the Invitorio checkout system.
F.Partner Commission
- The default partner commission is 20% of the final eligible amount actually paid by the customer after discounts.
- Commission is not calculated on the original undiscounted price.
- Commission is not earned on VAT, taxes, transaction fees, refunded amounts, chargebacks, disputed payments, cancelled payments, failed payments, complimentary orders, test payments, or fraudulent transactions, where applicable.
- A commission becomes eligible only after successful payment confirmation.
- Invitorio's payment and Stripe records are the primary records for commission calculations.
- Commission percentages may differ between partners and will be shown in the Partner Office.
- Historical commissions remain based on the percentage saved at the time of the eligible transaction.
- Example: Original price €100 → Customer discount 20% → Customer pays €80 → Partner commission 20% of €80 → Partner earns €16.
G.Payment of Commissions
- Payments are processed manually by Invitorio.
- Invitorio normally reviews eligible commissions twice per month.
- Payout dates may vary due to weekends, public holidays, payment-provider delays, compliance reviews, missing documents, or disputes.
- Only commissions marked payable are included in payouts.
- You must complete your payment profile before receiving funds.
- You are responsible for providing correct payment details.
- Invitorio is not responsible for delays caused by incorrect or incomplete details provided by you.
- Bank, payment-provider, currency-conversion, or intermediary fees may be deducted from the transferred amount where applicable.
- Invitorio may introduce a reasonable minimum payout threshold, which will be displayed clearly before it is applied.
- A payout marked paid must include the payment date and reference where available.
H.Refunds, Chargebacks and Reversals
- No commission is payable on refunded or reversed customer payments.
- Partial refunds reduce the commission proportionately.
- If a commission has already been paid before a refund or chargeback, the reversed amount may be deducted from future commissions.
- Invitorio must retain an audit trail of the original commission and the adjustment.
- Fraudulent or manipulated transactions may result in cancellation of commission and suspension.
I.Prohibited Conduct
- Use your promo code for fraudulent self-referrals.
- Create fake accounts, fake invitations, or fake purchases.
- Mislead customers about Invitorio.
- Claim to be an employee or official representative of Invitorio.
- Make unauthorised promises regarding prices, refunds, service availability, or product functionality.
- Use spam, deceptive advertising, impersonation, illegal content, or misleading claims.
- Bid on Invitorio trademarks in paid advertising without written permission.
- Register confusingly similar domains or social accounts.
- Copy, resell, distribute, or misuse Invitorio software or protected content.
- Interfere with tracking, checkout, payments, or commission calculations.
- Share private customer or account information.
- Offer unauthorised cashback from the promo code.
- Violations may result in commission cancellation, account suspension, termination, withholding of disputed payments, and legal action where appropriate.
J.Intellectual Property and Brand Use
- Invitorio and its branding remain the property of E.G.M. Inter-Quantum Investments Ltd or its licensors.
- Approval gives the partner a limited, revocable, non-exclusive permission to promote Invitorio.
- Brand assets may only be used according to published guidelines.
- The partner may not alter logos or imply official endorsement beyond approved partner status.
- Permission ends immediately when the partnership is suspended or terminated.
K.Confidentiality
- Partners must keep confidential: private customer information, unpublished commercial information, internal partner information, payment records belonging to other users, security information, and non-public business information.
- The partner must not gain access to another partner's data or global Invitorio analytics.
L.Data Protection
- Partner personal data may be processed for: application review, account management, fraud prevention, commission calculation, payment processing, legal and accounting obligations, and communication regarding the Partner Program.
- A link to the Invitorio Privacy Policy is available on the platform.
- Payment details must only be visible to authorised Super Admin users and the relevant partner.
- Invitorio masks sensitive payment information where possible and does not expose full banking details in ordinary lists or frontend logs.
M.Suspension and Termination
- The partner may request termination.
- Invitorio may suspend or terminate a partner for breach, fraud, inactivity, reputational risk, legal requirements, or misuse.
- The promo code must stop working immediately upon suspension or termination.
- Valid, undisputed commissions earned before termination may remain payable after review.
- Fraudulent, refunded, disputed, or prohibited transactions are not payable.
- Obligations concerning confidentiality, tax responsibility, intellectual property, audit records, refunds, and liability continue after termination where appropriate.
N.Limitation of Liability
- Invitorio does not guarantee uninterrupted availability, minimum sales, income, customers, or business results.
- Invitorio is not responsible for indirect or consequential business losses to the extent permitted by law.
- Nothing in these Terms excludes liability that cannot lawfully be excluded.
- Each party remains responsible for its own unlawful conduct, fraud, negligence, tax obligations, and legal duties.
O.Changes to the Program and Terms
- Invitorio may update the Partner Program and these Terms.
- Material changes must display a new terms version and effective date.
- Partners may be required to accept updated Terms before continuing to use the Partner Office or receive future commissions.
- Changes must not silently modify already recorded historical transactions.
